|
1. Purchase orders
|
Only purchase orders placed in writing shall be legally binding upon ourselves.
|
|
|
|
|
2. Acknowledgement
|
Each purchase order shall be confirmed promptly in a legally binding manner on the attached "Purchase Order Acknowledgment" form, stating the delivery term. By accepting a purchase order the supplier expresses his consent to our Terms and Conditions.
No deviation from any of the foregoing shall be accepted unless confirmed by ourselves in writing.

3. Prices
|
Prices shall apply inclusive of freight and packaging, with delivery to be made free to our works gate or subsidiary/ branch office within the meaning of paragraph 10.
Any discounts or rebates granted by the supplier shall also be applied to our account.
No price increase shall be deemed accepted unless confirmed by ourselves. If a purchase order is made without a price having been specified, our order shall be deemed placed subject to acceptance of your pricing.

4. Delivery
|
Delivery is to be made for supplier's account and at his risk, free of freight and packaging charges to our works gate (incoming goods department).
All shipments shall be accompanied by a delivery note stating all purchase order references and product data.
As regards quantities, weights and dimensions, the findings of our incoming goods inspection shall be binding.

5. Delivery term
|
Delivery shall be made at the times stated in our purchase order or otherwise agreed with the supplier.
Any delay shall be brought to our attention forthwith.
Supplier grants us the right to withdraw from the contract and demand indemni-fication for default.

|
6. Acceptance
|
Business disruptions, labour conflicts or cases of Force Majeure resulting in a reduction of our demand relieve us from any obligation to accept or receive supplies.
|
|
|
|
|
7. Invoices
|
Invoices and shipping notices shall be forwarded to us in duplicate immediately upon ship-ment of the goods, stating all purchase order references and product data.
|
|
|
|
|
8. Payment
|
Payment will on average be effected within 14 days from receipt of the invoice subject to deduction of a 3% cash discount.
|
|
|
|
|
9. Warranty
|
Goods are accepted under reserve of being found, upon the requisite inspection, to be in compliance with the purchase order in terms of quantity, quality and execution. With regard to defect notification and assertion of claims the statutory time limits shall apply. Where goods or services are defective we shall be entitled to demand – at our sole discretion – their replacement free of charge, a rescission of the contract, or a commensurate purchase price reduction.

10. Place of performance
|
The place of performance shall be Marienheide, or the location of our subsidiary or branch office stated as addressee in the purchase order.
The present agreement is subject to German law.
|

|
11. Tools, samples
|
Any tooling, samples, patterns, drawings, films, lithographic artwork, printing blocks, etc., paid for the supplier or made available to him (or to be offset by agreement against the initial delivery price) shall remain our property. They shall neither be used for supplier's own purposes nor made accessible to third parties, but are to be returned to ourselves – without any request to that effect being required on our part – as soon as they are no longer needed by the supplier for carrying our or processing our purchase order.

12. Data protection
|
Data will be stored by ourselves to the extent required and expedient for contractual purposes. All data shall be protected as set forth in the German Federal Data Protection Act.
